Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and evaloha (“evaloha,” “we,” “us,” or “our”) and govern your access to and use of our website, products, and services, including AgentCheck and AgentHealth (together, the “Services”).

By accessing or using the Services, joining our waitlist, or clicking to accept, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services.

You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business and professional use.

You are responsible for your account, for keeping your credentials secure, and for all activity that occurs under it. Notify us promptly if you suspect any unauthorized use. You agree to provide accurate information and to keep it up to date.

We are continually developing the Services. Some features may be offered on a waitlist, in beta, or as early access, and may change, be limited, or be discontinued.

Beta and early-access features are provided “as is,” may contain errors, and are not guaranteed to be available, supported, or backward-compatible. We may use feedback and usage data from these features to improve the Services.

You agree to use the Services lawfully and responsibly. You will not, and will not allow others to:

You retain all rights to the data, agents, and content you connect to or submit through the Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Services on your behalf.

You are responsible for the AI agents, tools, models, and integrations you connect, for the actions they take, and for ensuring you have the rights and permissions needed to connect them. You are responsible for configuring policies, approvals, and guardrails appropriately for your use case.

The Services, including all software, content, and trademarks, are owned by evaloha and its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. No other rights are granted.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them to improve the Services, without obligation to you.

The Services may interoperate with third-party products, models, and integrations that you choose to connect. Those third parties are governed by their own terms and privacy policies, and we are not responsible for their availability, content, or practices. Your use of a third-party service is at your own risk.

Some features are or will be offered under paid plans. Where fees apply, you agree to the pricing and payment terms presented to you at purchase. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and may change with prior notice for future billing periods.

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that they will detect or prevent every risk in your AI agents.

To the fullest extent permitted by law, evaloha and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

Our total liability for any claim arising out of or relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months before the claim, or one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless evaloha from any claims, damages, and expenses (including reasonable legal fees) arising from your Customer Data, your use of the Services, the agents or integrations you connect, or your breach of these Terms.

These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the Services or other users.

On termination, your right to use the Services ends. Provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

We may update these Terms from time to time. When changes are material, we will update the “Last updated” date above and, where appropriate, provide notice. Your continued use of the Services after an update means you accept the revised Terms.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. You and evaloha agree to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, for any dispute not subject to other agreement between us.
